What is Regulation CF?
Regulation CF is a 2016 SEC rule (from the JOBS Act) that allows companies to raise up to $5M per year from non-accredited investors. WorthRise files through an SEC-registered funding portal — every investor is protected by federal disclosure requirements including Form C.
Do I need to be an accredited investor?
No. That's the point of Reg CF. Everyday people — not just the wealthy — can invest starting at $100. No income minimum, no net worth requirement, no sophisticated investor status needed.
What equity do I receive?
All investors receive common stock in WorthRise, a Delaware C-corporation. Share counts and pricing will be fully disclosed in the Form C filing before the campaign launches. Your stake is proportional to your investment.
Will this dilute my ownership?
Yes — like any equity raise, Reg CF shares dilute existing stakeholders proportionally. Dilution is capped by the $5M maximum and fully disclosed in the Form C before you invest. Future rounds may dilute further; full cap table disclosed in advance.
When can I expect a return?
Early-stage equity has no guaranteed timeline. WorthRise is building toward profitability via vault yields while targeting acquisition or investment from humanitarian foundations, impact VCs, or crypto-native funds. Be prepared to hold for 3–7+ years.
Can I sell my shares later?
There is no established secondary market for WorthRise equity. You may not be able to sell your shares until a future liquidity event (acquisition, funding round, or secondary offering). Plan for long-term hold — 3–7+ years is realistic for early-stage equity.
Is WorthRise incorporated and SEC-ready?
WorthRise operates as a Delaware C-corp. We are working with legal counsel to finalize Reg CF eligibility and prepare the Form C filing. EIN is in process (4–8 week timeline). All incorporation documents are in preparation.
What is the minimum investment?
$100 — the minimum set by SEC rules and the funding portal. You can invest more through any of our four higher tiers ($500, $2,500, $10,000).
What happens if the campaign doesn't reach its goal?
All investments are returned in full. No equity is issued. WorthRise continues operating on vault yields regardless of campaign outcome. Your daily card is never affected.
How does WorthRise sustain itself without investor returns?
Onchain vault yields compound the mission in perpetuity. 32% blended target yield across 6 blockchain networks means the platform generates its own operating revenue — no charity dependency, no bake sales. Investors are funding expansion, not survival.
What happens if crypto markets crash and vault yields drop?
Vault yields are targets, not guarantees. Severe market downturns would reduce yields. WorthRise continues on whatever the vault generates. Your equity investment is separate from vault performance — the platform doesn't die if yields drop.
What makes WorthRise different from other wellness apps?
Most wellness apps are subscription-based and serve people who can pay. WorthRise is completely free — funded by onchain yields. No ads. No data selling. No freemium. Every person in every country gets the exact same card, same quality, same free access.
Is WorthRise a security? Is this legal?
WorthRise will file a Form C with the SEC through an approved funding portal before accepting investments. Regulation CF is fully legal and SEC-regulated. Investments are not FDIC-insured. This is not a guarantee of returns.
How do I verify this is real?
WorthRise is live at worthrise.polsia.app. The daily card is active and serving users. The vault infrastructure is on-chain and publicly verifiable. The Form C will be publicly available on SEC EDGAR before the campaign accepts investments.
