What is Regulation CF?
Regulation CF is a 2016 SEC rule that allows companies to raise up to $5M per year from non-accredited investors. It requires filing with the SEC and using an approved funding portal. WorthRise plans to file through a registered portal.
Do I need to be an accredited investor to participate?
No. Regulation CF is specifically designed to give everyday people — not just the wealthy — the chance to invest in early-stage companies. You can invest from $100.
Will investing dilute my ownership?
Yes — like any equity raise, Reg CF shares dilute existing shareholders proportionally. The dilution is capped by the $5M maximum raise and disclosed in the Form C filing. We will disclose exact dilution in the campaign deck.
When can I expect a return on my investment?
Early-stage equity has no guaranteed timeline. WorthRise is building toward profitability via vault yields while targeting acquisition or strategic investment from humanitarian foundations, impact VCs, or crypto-native funds. You should be prepared to hold for 3-7 years.
Is WorthRise already incorporated and compliant?
WorthRise operates as a Delaware C-corp. We are working with legal counsel to finalize Reg CF eligibility and prepare the Form C filing. We will disclose fiscal sponsor or nonprofit status pathway as we develop the grant pipeline alongside equity.
What is the minimum investment?
We expect the minimum to be $100 — set by the funding portal and SEC rules. Exact minimum will be confirmed in the campaign filing.
When does the campaign launch?

What happens if WorthRise doesn't reach its raise target?
If the campaign doesn't meet its minimum funding goal, all investments are returned and no equity is issued. The platform continues operating on vault yields regardless.
